The GC Institute is an executive level program designed for high potential legal executives looking to develop and enhance their leadership skills. We are unique in that we focus specifically on legal leadership challenges, rather than technology, sales or general leadership as do many other programs. Our sessions are taught and facilitated by Fortune 1000 General Counsel and UC Berkeley faculty that have foundational knowledge as well as practical, real world experience.

The role of a General Counsel involves much more than simply acting as the lead lawyer for an organization. Leading a team of people, managing a budget, liaising between management and a board of directors, and playing a leadership role in a crisis are just a few of these other expectations. Lawyers desiring to become GCs need to develop strong financial and business acumen as well as contextual intelligence and leadership skills. A corporate director survey found that legal acumen is the third most sought after skill for a general counsel following judgment and integrity. Another survey conducted by an executive search firm concluded that the most important role of the GC in a business is as a strategic bridge builder.

Michelle will share insights from her career journey that began managing litigation and IP at eBay and evolved into serving as GC at StubHub. Before she took the plunge into the start-up world as Turo’s sole lawyer, she told eBay’s GC, “I’m going to do something different this year. I hope it’s here. If not, I’m leaving. I want to be the GC of a startup and no one is going to hire a litigator to do that.” The right choices were never easy or clear. Michelle will speak candidly about the career risks she felt paid off, and the ones that didn’t. Hopefully you will leave inspired to take some smart risks of your own.

Michelle Banks

Member-Photos-MBanksMichelle Banks was the Executive Vice President, Global General Counsel of Gap Inc.

In addition to the global legal function, Michelle oversaw the Company’s global equity, integrity and privacy functions. She also led the foundation, franchise services, government affairs & public policy and sustainability functions during her tenure at Gap Inc.

Before joining the Company in 1999, Michelle was in-house legal counsel for the NBA’s Golden State Warriors, and prior to that, worked in Japan as American counsel for ITOCHU Corporation. She was also associated with several law firms, including Morrison & Foerster in California and New York, focusing on corporate finance and international commercial transactions.

Michelle graduated from UCLA with degrees in Law and Economics, and was admitted to the California bar in 1988. She serves as Chair of the Board of Directors of Minority Corporate Counsel Association and on the American Bar Association’s Commission on Women in the Profession.

Russ Elmer

Prior to Lending Club, Russ was Vice President, Deputy General Counsel and Secretary at PayPal Holdings Inc., where he managed responsibilities across the corporate legal functions, including corporate securities, M&A, corporate governance, litigation, and other central functions. He also oversaw the legal complexities of the eBay and PayPal spin off.

Prior to PayPal, Russ served as the General Counsel at leading financial services and financial technology companies. He also spent a decade as a Partner at Gray Cary Ware & Freidenrich. Combined, Russ has over 25 years of experience leading corporate legal teams and providing legal counsel.

Russ received a Juris Doctor from the University of California, Berkeley, School of Law and a Bachelor of Arts in Political Science and International Relations from Stanford University. He is a member of the State Bar of California.

Michelle Fang

member-photos-fangMichelle Fang offers over 15 years legal expertise ranging from outside firms to in-house corporate counsel. Prior to joining Turo, Michelle held positions most notably at NBC Universal, StubHub and eBay, where she led the North America litigation department, advising eBay and its subsidiaries on products and operations to mitigate risk. While at eBay she also managed a portfolio of lawsuits, administered a multi-million dollar budget and directed the work of outside counsel. A seasoned and approachable in-house generalist, Michelle is comfortable handling a wide variety of cutting-edge legal and business issues in a fast-paced, results driven and collaborative atmosphere.

She previously served as the Associate General Counsel for Flurry, Inc. and legal counsel at Mattel, Inc. Prior to going in-house Su-Jin was a corporate associate at Wilson, Sonsini Goodrich & Rosati. Su-Jin received her J.D from U.C. Hasting College of the Law and has a Master of Arts and Bachelor of Arts in Sociology from the University of Virginia.

Brad Lewis

BlackRock is a global leader in investment management, risk management and advisory services, with over $4.8 trillion in assets under management.

In addition to his duties as General Counsel of BTC, he lead the global legal teams supporting BlackRock’s Institutional Client Business and BlackRock Solutions®. BlackRock Solutions provides the Aladdin® investment management platform to a diverse range of external clients including asset managers, insurers, banks, governments and official institutions, as well as FutureAdvisor®, BlackRock’s robo-adviser platform. Lewis also coordinated BlackRock’s intellectual property protection globally, including trademarks, patents and IP enforcement.

Prior to joining BlackRock, Lewis was a litigation partner and practice head at Fenwick & West, where he represented clients in a variety of matters, including government investigations by the SEC and the U.S. Department of Justice, securities litigation and intellectual property disputes. From 1990 through 1997, Lewis served as an Assistant United States Attorney in the Eastern District of California, where he prosecuted political corruption, fraud and other white collar crimes.

Lewis has been an instructor at the Stanford Director’s College on internal investigations and corporate governance, and an instructor in trial advocacy at the National Institute for Trial Advocacy. He received awards as a federal prosecutor from the FBI, Department of the Treasury and the U.S. Department of Agriculture.

Lewis received his undergraduate degree from Stanford University, and his law degree from the University of California Berkeley, where he was an Executive Editor of the California Law Review.

Christopher Lewis

Christopher Lewis is the General Counsel of Apcera Inc, a cloud software company offering an enterprise-grade container management platform for legacy and cloud native applications. Before joining Apcera, Chris held executive legal positions at several private and public technology companies. Most recently, Chris was EVP, General Counsel and Corporate Secretary at NEOS GeoSolutions, an energy technology company backed by top-tier venture capital investors. Prior to NEOS, Chris worked at Yahoo!, the ICC International Court of Arbitration, the World Economic Forum, and private law firms. He holds a BA in Economics from Haverford College, a Master’s Degree in Public Policy from the Eagleton Institute of Politics, a Juris Doctorate and a Certificate of International Law with distinction from Rutgers Law School. Chris is currently one executive education class short of achieving alumni status at the Harvard Business School.

Lori A. Schechter

Member-Photos-SchecterLori A. Schechter is executive vice president, general counsel and chief compliance officer for McKesson Corporation. She is responsible for overseeing McKesson’s general counsel organization, which consists of the law, public affairs, compliance and corporate secretarial functions for McKesson and its subsidiaries.

Schechter served as associate general counsel of McKesson from January 2012–June 2014. Previously, she was a litigation partner at Morrison & Foerster where she represented clients in complex litigation and investigations and served for four years as chair of the 500-lawyer global litigation department.

Schechter was named by the National Law Journal as one of the “Top 50 Female Litigators in the Country.” She received her B.A. from Cornell University, and her J.D. from Yale Law School.

Sharon Segev

Sharon leads with a fearless, tenacious, out of the box mindset, and diversity activism as her recipe to superior results. With extensive experience in multiple legal disciplines, including negotiations of complex cross-border mergers and acquisitions, compliance and other strategic and commercial transactions, IP amplification, and implementation of legal strategy, Sharon is a solution oriented leader. Segev is passionate about opening doors for other women professionals who do not always fit the mold and prides herself on routinely motivating, opening doors and promoting those women, enabling them to achieve their goals.

Sharon is the Executive Vice President, General Counsel and Secretary at LifeLock, a leading identity theft protection service provider where she helps the company innovate and excel by navigating through evolving regulatory requirements, implementing tools and processes that allow for efficiency and scale. She takes pride in leading a strong team of legal professionals with a strong combination of business and legal acumen. Vice President, Corporate Development & General Counsel at Elo Touch Solutions, a multinational interactive touch solution provider. At Elo she built the legal department from the grounds up and implemented an agile and efficient infrastructure, responsible for M&A and strategic transactions, IP strategy, and worldwide legal operations. Prior to Elo, Sharon was Vice President, Associate General Counsel & Assistant Secretary at Cadence Design Systems, a Nasdaq-traded electronic design automation company. For Cadence, she led the acquisitions of dozens of start-ups and publicly traded companies. She also restructured the company’s worldwide commercial practices and compliance programs through strong cross functional collaboration.

Sharon cemented the earlier stages of her career in top law firms, including the San Francisco office of Gibson, Dunn & Crutcher and Herzog, Fox & Neeman, handling a wide range of legal matters for multinational private and public companies, including SEC compliance and IPO readiness. Her dual degrees in law and accounting have helped her develop strong business acumen, as an advantage in orchestrating legal solutions. She prides herself at identifying diverse talented people and helping them excel.

Through different panels, speaking engagements, and professional forums, Sharon is vocal about legal contribution to business practices, IP protection, M&A, privacy and compliance, women’s leadership and creative team building.

Brad Serwin

Brad Serwin is Glassdoor’s general counsel responsible for overseeing all legal matters globally. Previously, Brad served as senior vice president/deputy general counsel of eBay Inc., where he was responsible for all legal affairs for eBay.com and its affiliated sites as well as all litigation and non-patent IP matters. Brad has served as general counsel at several hyper-growth companies spanning the technology, hospitality and gaming industries, including Playdom, which was acquired by The Walt Disney Company, Dean & Deluca, Las Vegas Sands Corp., and Ticketmaster. Brad received his J.D. from Harvard Law School and holds a bachelor’s degree in business economics from the University of California, Los Angeles.

Laura Stein

Laura Stein serves as executive vice-president – general counsel & corporate affairs of The Clorox Company, a leading global consumer packaged goods company. She is responsible for global legal, compliance, corporate responsibility, government and community affairs, communications, enterprise risk management, internal audit, crisis management and business continuity planning matters. Stein serves on Clorox’s executive committee, is president of Clorox’s Foundation and has sponsored the Clorox women’s employee resource group. She was previously senior vice president – general counsel of H. J. Heinz Company, president of the Heinz women’s leadership group, and a Heinz Foundation director. Stein is chair of the corporate governance committee of the board of Franklin Resources, Inc. (BEN), a global investment management firm known as Franklin Templeton Investments, and a director of Canadian National Railway (CN), a North American transportation company. She is co-chair of Corporate Pro Bono and chair of the Leadership Council on Legal Diversity. Stein serves on the American Law Institute Council, the Harvard Law School Visiting Committee, the Legal Services Corporation Leaders Council and the Board of Managerial Trustees of the International Association of Women Judges. Stein is former chair of Equal Justice Works, the ABA Commission on Domestic Violence, the ABA Asia Rule of Law Initiative and the Association of Corporate Counsel, and former president of the Association of General Counsel. Stein received her J.D. from Harvard Law School, and her BA and MA degrees from Dartmouth College. She has received the Margaret Brent Award, the ABA’s highest award for women lawyers, the Sandra Day O’Connor Board Excellence Award, the Financial Times Most Innovative General Counsel in North America Award and the Corporate Board Member America’s Top General Counsel Recognition Award, among others.
